Acceptance of Terms

By accessing or using any services provided by Neureau LLC ("Neureau," "we," "us," or "our"), including the RainBuckets AI integration platform, the Neureau licensing portal, and all related websites, APIs, and software (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

We reserve the right to update or modify these Terms at any time. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms. We will notify you of material changes by email or through the Services.

Description of Service

Neureau provides a software platform for data integration, message processing, and interoperability. The Services include, but are not limited to:

• The RainBuckets AI agentic integration platform
• License management and activation services
• Schema delivery and validation tools
• Marketplace for third-party integrations and extensions
• API access for programmatic integration
• Documentation, support, and related resources

Account Registration

To access certain features of the Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age to create an account. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Subscription and Billing

Certain Services are offered on a subscription basis. By subscribing, you agree to pay the applicable fees as described on our pricing page. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected.

• Payment: All payments are processed through Stripe. You authorize us to charge your designated payment method for all fees incurred.
• Renewals: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Refunds: Subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
• Price Changes: We may change subscription fees upon 30 days' prior notice. Price changes take effect at the start of the next billing period.

Free Starter Tier

We offer a free Starter tier with limited functionality. The Starter tier is provided "as is" without any service level guarantees. We reserve the right to modify the features and limitations of the Starter tier at any time. The Starter tier may not be used for production workloads exceeding the published limits.

Trial Period

We may offer a free trial period for paid subscription tiers. At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial expires. You will be notified before the trial ends. Trial availability and duration are at our sole discretion and may be modified or discontinued at any time.

Intellectual Property

The Services, including all software, documentation, APIs, designs, trademarks, and content, are the exclusive property of Neureau LLC and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

You retain ownership of all data and content you submit to the Services ("Your Content"). By submitting Your Content, you grant us a limited license to process and store it solely for the purpose of providing the Services to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEUREAU LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Termination

You may terminate your account at any time by contacting us or using the account settings in the Services. We may suspend or terminate your access to the Services at any time, with or without cause, upon notice to you.

Upon termination, your right to use the Services ceases immediately. We will retain your data for 90 days following termination to allow you to export your information, after which it will be permanently deleted. Any provisions of these Terms that by their nature should survive termination shall remain in effect.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the Commonwealth of Virginia. You consent to the personal jurisdiction of such courts.
